Terms of Service

These Terms of Service ("Terms") govern your use of Agent Local LLC ("AgentLocal," "we," "our," or "us"), operated at agentlocal.ai. By creating an account or using the service, you agree to these Terms.

1. Service Description

AgentLocal is an AI infrastructure platform for local businesses. We generate, host, and maintain AI discovery infrastructure including MCP (Model Context Protocol) servers, A2A Agent Cards, JSON-LD structured data, and llms.txt files. We also register your business with AI discovery registries to make it findable by AI assistants like ChatGPT, Claude, and Gemini.

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must be at least 18 years old and have the authority to represent the business you register.

3. Business Information and Public Disclosure

By using AgentLocal, you acknowledge and agree that the business information you provide (including business name, contact details, services, pricing, hours, and service area) will be made publicly accessible to AI assistants and discovery platforms. This is the core function of the service.

You represent and warrant that:

  • You have the right to publish the business information you provide
  • The information is accurate and not misleading
  • You are authorized to act on behalf of the business
  • The services and pricing you list are genuine and current

4. AI Interactions and Leads

AgentLocal facilitates interactions between AI assistants and your business. When a customer uses an AI assistant to request a quote or appointment, we pass that request to you. You are responsible for:

  • Responding to leads and appointment requests in a timely manner
  • Honoring the services and pricing ranges published through your AI infrastructure
  • Handling customer data received through AI interactions in compliance with applicable privacy laws

We do not guarantee that AI interactions will result in customers, sales, or revenue. AI assistants may present your information alongside competing businesses, and the user's AI platform determines how and when your business is recommended.

5. Registry Submissions

As part of the service, we submit your business to AI discovery registries including the official MCP Registry and community directories. These registries are operated by third parties (Anthropic, Google, independent community maintainers) and are subject to their own terms and approval processes. We cannot guarantee acceptance by any registry or continued listing.

6. Acceptable Use

You agree not to:

  • Provide false, misleading, or fraudulent business information
  • Use the service for any illegal or unauthorized purpose
  • Attempt to manipulate AI discovery rankings or registry listings
  • Interfere with or disrupt the service or its infrastructure
  • Create multiple accounts for the same business to circumvent plan limits
  • Resell or redistribute the service without authorization

7. Pricing and Payment

AgentLocal offers subscription plans as described on our website. Prices are in US dollars and are subject to change with 30 days' notice. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are handled on a case-by-case basis — contact us at [email protected] for billing inquiries.

8. Service Availability

We strive to maintain high availability for your MCP server and discovery endpoints but do not guarantee 100% uptime. We may perform maintenance, updates, or modifications to the service with or without notice. We will make reasonable efforts to notify you of planned downtime that may affect your AI discoverability.

9. Intellectual Property

You retain ownership of your business content and information. By using the service, you grant AgentLocal a license to use, publish, and distribute your business information for the purpose of providing the service, including submitting to AI discovery registries and making it accessible via MCP endpoints, Agent Cards, and structured data formats.

AgentLocal retains ownership of the platform, infrastructure, code, and any generated AI infrastructure files (MCP server configurations, Agent Cards, etc.). These files are generated from your content but are delivered as part of our hosted service.

10. Limitation of Liability

To the maximum extent permitted by law, AgentLocal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. This includes but is not limited to: loss of revenue or business due to AI platform changes, removal from registries, or modifications to third-party AI services. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Third-Party Services

AgentLocal integrates with third-party AI platforms and registries. We are not responsible for the actions, policies, or availability of these services. Changes to AI platforms (such as OpenAI, Anthropic, or Google) may affect how your business appears in AI responses. We will make commercially reasonable efforts to keep your AI infrastructure compatible with current standards.

12. Cancellation and Termination

You may cancel your subscription at any time through your dashboard or by contacting us. Upon cancellation:

  • Your MCP server will be deactivated
  • Your business will be removed from AI discovery registries
  • Your Agent Card and discovery endpoints will stop responding
  • Dashboard access will continue until the end of your billing period

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the dashboard. Your continued use of the service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles.
